Terms of Service
These terms govern access to and use of LookAcross websites, software, partner intelligence, campaign, outreach, and related services.

These Terms of Service ("Terms") are an agreement between LookAcross Inc. ("LookAcross," "we," "us," or "our") and the person or organization using the Services ("you"). By using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it.
1. The Services
LookAcross provides business-to-business partner intelligence, account intelligence, matching, campaign, outreach, execution, and related software and services (the "Services"). Features may change over time, and some may be offered as pilots or beta services.
If you and LookAcross sign an order form, statement of work, data processing agreement, or other written agreement, that agreement is part of these Terms. If there is a conflict, the signed agreement controls for the subject it covers.
2. Accounts
You must be at least 18 years old and able to enter a binding contract. You must provide accurate information, keep your login credentials secure, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account and for users you authorize.
3. Acceptable use
You may use the Services only for lawful business purposes. You will not:
- violate any law, regulation, third-party right, or contractual obligation;
- send unlawful, deceptive, fraudulent, harassing, or unsolicited communications;
- use information from the Services to decide eligibility for employment, credit, housing, insurance, or other legally protected benefits;
- access, use, or disclose personal or confidential information without a lawful basis and required permissions;
- interfere with the Services, bypass controls, probe for vulnerabilities, introduce malicious code, or access another user's account;
- reverse engineer, copy, resell, sublicense, scrape, or commercially exploit the Services except as expressly permitted; or
- misrepresent generated content, recommendations, identities, affiliations, or the origin of communications.
You are responsible for your targeting, recipients, messages, connected accounts, and decisions made using the Services, including compliance with anti-spam, marketing, privacy, and telemarketing laws.
4. Connected accounts
You may connect Google, Microsoft, LinkedIn, IMAP, or other third-party accounts. By connecting an account, you authorize LookAcross and its service providers to access and process information and take actions you request, subject to the permissions you grant. You represent that you have the right to connect and use the account and its data.
Third-party services are governed by their own terms and policies. We do not control their availability or actions. Disconnecting an account may interrupt campaigns, synchronization, reporting, or other features.
5. Your content and data
You retain ownership of content, information, and instructions you submit ("Customer Content"). You grant LookAcross a non-exclusive license to host, copy, process, transmit, and use Customer Content as needed to provide, secure, support, and improve the Services and as otherwise directed by you.
You represent that you have all rights and permissions needed for Customer Content and our processing of it. Our handling of personal information is explained in the Privacy Policy.
6. Data, recommendations, and AI features
The Services may combine customer information, public sources, licensed providers, integrations, and automated or artificial-intelligence systems. Business information can be incomplete, inferred, outdated, or inaccurate. Recommendations, scores, matches, and generated content assist, but do not replace, your judgment. You must verify important information before acting on it.
LookAcross does not guarantee that a partner, prospect, campaign, recommendation, integration, or project will achieve a particular result.
7. Intellectual property
LookAcross and its licensors own the Services, software, interfaces, designs, documentation, methods, and related intellectual property, excluding Customer Content. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your authorized subscription or engagement.
If you provide feedback, you allow us to use it without restriction or compensation, provided we do not identify you as its source without permission.
8. Fees
Fees, billing periods, usage limits, and payment terms are stated in the applicable order or checkout flow. Unless stated otherwise, fees are non-refundable and exclude taxes. You are responsible for applicable taxes other than taxes on our net income.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if continued service becomes unlawful or impracticable. When practical, we will provide notice and a reasonable opportunity to fix the issue.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LOOKACROSS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA OR OUTPUTS WILL BE COMPLETE, CURRENT, OR ACCURATE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, BREACH OF ACCEPTABLE USE, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO LOOKACROSS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR US$100 IF YOU HAVE NOT PAID FOR THE SERVICES.
12. Indemnification
You will defend and indemnify LookAcross and its affiliates, officers, employees, and agents from third-party claims and reasonable expenses arising from your Customer Content, campaigns or communications, connected accounts, violation of these Terms, or violation of law or third-party rights.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. State and federal courts located in Delaware will have exclusive jurisdiction over disputes. Before filing a claim, each party will try in good faith for 30 days to resolve it informally.
14. Changes and contact
We may update these Terms. We will post the revised Terms and update the effective date. Continued use after the revised Terms take effect means you accept them.
